End-User License Agreement (EULA) of abr Remote Access

This End-User License Agreement (“EULA”) is a legal agreement between you and abr-solutions , Wolkensteinstr. 3, D- 81545 Munich, VAT-ID: DE318318694.

This EULA governs your acquisition and use of our abr Remote Access software (“Software”) directly from abr-solutions or indirectly through an abr-solutions authorized reseller or distributor (a “Reseller”).

Please read this EULA carefully before completing the installation process and using the Software. It provides a license to use the Software and contains warranty information and liability disclaimers.

If you register for a free trial of the Software, this EULA will also govern that trial. By clicking “accept” or installing and/or using the Software, you are confirming your acceptance of the Software and agreeing to become bound by the terms of this EULA.

If you are entering into this EULA on behalf of a company or other legal entity, you represent that you have the authority to bind such entity and its affiliates to these terms and conditions. If you do not have such authority or if you do not agree with the terms and conditions of this EULA, do not install or use the Software, and you must not accept this EULA.

This EULA shall apply only to the Software supplied by abr-solutions herewith, regardless of whether other software is referred to or described herein. The terms also apply to any abr-solutions updates, supplements, Internet-based services, and support services for the Software, unless other terms accompany those items on delivery. If so, those terms apply.

License Grant

abr-solutions hereby grants you a personal, non-transferable, non-exclusive license to use the Software on your devices in accordance with the terms of this EULA.

You are permitted to load the Software on a device (for example a PC, laptop, mobile or tablet) under your control. You are responsible for ensuring your device meets the minimum requirements of the Software.

You are not permitted to:

• edit, alter, modify, adapt, translate or otherwise change the whole or any part of the Software nor permit the whole or any part of the Software to be combined with or become incorporated in any other software, nor decompile, disassemble or reverse engineer the Software or attempt any similar actions
• reproduce, copy, distribute, resell or otherwise use the Software for any commercial purpose
• allow any third party to use the Software on behalf of or for the benefit of any third party
• use the Software in any way which breaches any applicable local, national or international law
• use the Software for any purpose that abr-solutions considers is a breach of this EULA

Confidentiality

The Software – as provided to download via an automatically created and forwarded email – serves the purpose of fulfilling internal tests and use case scenaria for the company or other legal entity that you represent. ALL INFORMATION DISCLOSED IN THE FORWARDED EMAIL IS CONFIDENTIAL! You are not permitted to share or use this information for any other purpose than device management operations on behalf of the company or other legal entity that you represent, whatsoever.

The licensing of the Software on a device is realized by using the license files, that is by importing the license-key file (avnc_lincense.key) or by scanning the quick activation code (quick_license.code), as delivered to download.

IMPORTANT : The license files must be kept in a safe place! After licensing a device with any of the license files, the device data is fully accessible by any physical person who has access to them!

In case that the license files get tampered, you bear full responsibility in the event of Data loss, Data abuse or Data theft!

WARRANTIES DISCLAIMER

TO THE EXTENT ALLOWED BY LAW, THIS SOFTWARE IS PROVIDED TO YOU “AS IS” WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, WHETHER ORAL OR WRITTEN, EXPRESS OR IMPLIED. abr-solutions SPECIFICALLY DISCLAIMS ANY IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, SATISFACTORY QUALITY, NON-INFRINGEMENT AND/OR FITNESS FOR A PARTICULAR PURPOSE.

Limitation of Liability

IN NO EVENT SHALL abr-solutions BE LIABLE FOR ANY DATA LOSS, DATA ABUSE, DATA THEFT, LOSS OF PROFITS, LOSS OF BUSINESS OPPORTUNITIES, LOSS OF USE OF DATA, INTERRUPTION OF BUSINESS, OR FOR INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, EXEMPLARY OR CONSEQUENTIAL DAMAGES OF ANY KIND, ARISING OUT OF THE USE, INABILITY TO USE, OR THE RESULTS OF USE OF THE Software, WHETHER BASED IN CONTRACT, TORT, OR OTHERWISE. YOUR USE OF THE Software IS ENTIRELY AT YOUR OWN RISK. SHOULD THE Software PROVE DEFECTIVE, YOU ASSUME THE ENTIRE COST OF ALL SERVICE, REPAIR OR CORRECTION AND, TO THE EXTENT PERMITTED BY THE APPLICABLE LAW, YOU AGREE TO UNCONDITIONALLY WAIVE ALL STATUTORY OR OTHER RIGHTS THAT MAY BE HELD BY YOU AGAINST abr-solutions IN RESPECT OF SUCH DEFECT. Notwithstanding the above, these terms do not purport to limit the statutory rights of a consumer that cannot be waived under the applicable law.

Intellectual Property and Ownership

abr-solutions shall at all times retain ownership of the Software as originally downloaded by you and all subsequent downloads of the Software by you. The Software (and the copyright, and other intellectual property rights of whatever nature in the Software, including any modifications made thereto) are and shall remain the property of abr-solutions.

abr solutions reserves the right to grant licenses to use the Software to third parties.

Refund policy

If the Software and its associated products and services do not fully meet your expectations, you are entitled to a full refund of the paid fee, with subsequent revocation of your entitlement to these products and services, within 30 days from the date of your purchase.

If you wish to revoke your entitlement to the purchased products and services with a full refund, prior to this date, please send us an informal notification via email at info@abr-solutions.de.

Termination

This EULA is effective from the date you first use the Software and shall continue until terminated. You may terminate it at any time upon written notice to abr-solutions.

It will also terminate immediately if you fail to comply with any term of this EULA. Upon such termination, the licenses granted by this EULA will immediately terminate and you agree to stop all access and use of the Software. The provisions that by their nature continue and survive will survive any termination of this EULA.

Governing Law

All disputes, controversies or claims that may arise from this EULA or in relation with it shall be settled amicably. You agree to try and solve the dispute informally by emailing info@abr-solutions.de before bringing a formal proceeding. abr-solutions will try to resolve your concern informally by emailing you. If your concern is not settled within 30 days, from the day the concern was received, you may bring a formal proceeding.

This EULA, and any dispute arising out of or in connection with this EULA, shall be governed by and construed in accordance with the laws of Germany.

Other Terms & Conditions

Any and all communications between you and abr-solutions will be conducted via email. abr-solutions can send to the your email address, which was provided during your registration, any messages or information regarding abr-solutions products.

This Agreement is accepted by the buyer as a whole and supersedes any previous agreements or negotiations.

Any changes or modifications to these terms will be valid only if they are made in writing and are accepted by both parties.
